Terms of Service

Effective date: May 11, 2026. These Terms of Service (the “Terms”) form a legally binding agreement between you (the “user” or “you”) and Huelo.ai (the “Huelo” service, the “Service,” “we,” “us,” or “Huelo”). Huelo.ai is currently operated independently by a solo developer and is not yet incorporated as a legal entity. These Terms govern your use of our products, services, mobile applications (the “App”), and websites (the “Site,” collectively the “Service”). Please read these Terms carefully before using the Service. If you do not agree to any part of the Terms, do not register or use the Service.
Important: Section 4 governs recording legality (user responsibility), Section 6 covers AI features and EU AI Act compliance, Section 16 contains the limitation of liability, and Section 19 covers governing law and dispute resolution (with exceptions for EU/UK consumers). Please read these sections carefully.
1. Acceptance and scope
By clicking “I agree” or a similar button, completing account registration, downloading or updating the App, or otherwise accessing or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and any supplemental policies (together, the “Agreement”).
If you use the Service on behalf of an employer or legal entity, you represent and warrant that: (i) you have legal authority to bind that entity to these Terms; (ii) you have read and understood these Terms; and (iii) you accept these Terms on behalf of that entity and its authorized users. In that case, “you” refers to both you personally and the entity you represent.
2. Service description
Huelo is an AI platform for meeting recording, transcription, summarization, analysis, and action-item generation:
- Real-time speech-to-text transcription with live transcripts
- Audio file upload and transcription (m4a / mp3 / wav / mp4 / webm / ogg, up to 500 MB per file)
- AI meeting analysis: overview, conclusions, chapters, discussion points, deep analysis, recommendations, action items, speaker analysis
- AI expert lenses, AI meeting assistant chat, custom analysis templates
- Smart correction, custom vocabularies, slide-fusion analysis (some features limited to specific plans)
- Meeting list, search, playback, and sharing
The Service uses AI systems to provide these core features; new features may be marked as “Beta” or “experimental” before general availability, and such status will be displayed in the UI. AI-related compliance information is set out in Section 6 of these Terms and Section 19 of the Privacy Policy (EU AI Act compliance).
We reserve the right to add, modify, suspend, or discontinue features at our discretion. For material changes we will provide advance notice via in-app notification or email.
3. Account registration and eligibility
You must register with Huelo and create an account (“Account”) to use the Service. During registration you must provide true, accurate, and complete information (including but not limited to your name and email) and keep it current.
Age: You must be at least 18 years old to use the Service. By using the Service you represent and warrant that:
- You are at least 18;
- You have not previously been suspended or banned from the Service;
- All information you provide is correct and current;
- Your use complies with all applicable laws and regulations.
You are the sole authorized user of your Account and are fully responsible for your password, login credentials, and Account activity. Huelo has no control over the use of any user account and expressly disclaims any liability arising from such use. If you discover unauthorized password or Account use, or suspect any other security incident, please notify us immediately at support@huelo.ai.
The person who registers with the Service is the contracting party (“Account holder”). If you register on behalf of an employer, the employer is the Account holder. Accounts are non-transferable.
4. Recording legality and user responsibility (important)
This is the most important legal notice before using the Service — please read carefully. The legality of using Huelo's recording features is solely your responsibility.
4.1 You are solely responsible for the legality of recording. Recording consent requirements vary significantly across jurisdictions:
- Taiwan: Under Article 315-1 of the Criminal Code, unauthorized recording of others' non-public activities, speech, conversations, or private body parts is punishable by up to three years' imprisonment.
- United States: Some states follow “one-party consent”; California, Florida, Washington, and 11 other states require “all-party consent.”
- EU/UK: Under the GDPR and domestic laws, processing voice data generally requires explicit consent or another lawful basis.
4.2 Your commitments. Before using the Service, you represent and warrant that:
- You have evaluated and will comply with all applicable laws on notice and consent (including all-party consent where required) in your jurisdiction and the jurisdictions of all recorded persons.
- For each recording, you will clearly and contemporaneously notify all participants that the conversation is being recorded and will be processed by an AI system for transcription, summarization, and analysis.
- You have obtained all necessary consents before starting any recording.
- If any participant objects to being recorded, you will immediately stop the recording.
- You will not use the Service to record any conversation, meeting, call, or live event you do not have a lawful right to record, nor for eavesdropping, surveillance, stalking, or any other purpose that violates another person's privacy.
4.3 Compliance tools provided by the Service. During recording, Huelo persistently displays visual indicators (a flashing red dot, “REC” text, and a timer) as a reminder; you must also acknowledge any system microphone permission prompts from the operating system. These indicators do not relieve you of your independent legal obligation to obtain lawful consent. Huelo is not responsible for legal consequences arising from your failure to obtain appropriate consent.
4.4 Indemnification and recourse. Any and all civil, criminal, administrative penalties, and damages arising from your violation of the foregoing are your sole responsibility. Huelo may seek full indemnification from you under Section 17 when subject to third-party claims or regulatory inquiries.
5. User content and license
5.1 Definition of User Content. Audio, transcripts, AI analysis results, attachments, text, images, notes, and other content you record, upload, sync, input, or derive through the Service (collectively, “User Content”) — the copyright and ownership belong to you. As between you and Huelo, you retain all exclusive rights.
5.2 Limited license granted to Huelo. To provide the Service, you grant Huelo a worldwide, non-exclusive, royalty-free, fully paid-up (with sublicense rights) limited license to: host, store, transmit, display, render, copy, modify (only for necessary technical format conversion), export, process, transform, and distribute (only per your specified sharing scope) User Content.
- Store, back up, encrypt-transmit, and render User Content to you within our cloud infrastructure.
- Transmit to the sub-processors listed in Section 12 (OpenAI, Anthropic, Deepgram, etc.) for AI transcription and analysis.
- When you enable sharing, share publicly or time-limited per your specified recipients and permission scope.
5.3 Deletion and termination. You may delete User Content from your Account at any time; unless you choose to permanently delete from the Trash, content may be retained in the Trash for a period. Once permanently deleted (by direct user action or Trash retention expiry), Huelo will retain no record of the User Content and cannot reconstruct it. The license expires upon content deletion or Account termination.
5.4 Content representations and warranties. You represent and warrant that you are the creator or owner of User Content, or have obtained all necessary licenses and consents; that User Content and its use on the Service does not infringe any third-party copyright, trademark, privacy, publicity, or other right; and that User Content contains no material a reasonable person would find offensive, obscene, harassing, threatening, hateful, or otherwise inappropriate.
5.5 Huelo's no-training commitment. Huelo will never use your identifiable User Content to train AI models (whether to benefit other customers or third parties), for ad targeting, or sell or rent to third parties. Huelo may only use fully anonymized and aggregated data to improve speech recognition and AI capabilities; such data cannot be traced back to any individual user.
6. AI features, transparency, and human oversight
6.1 Acknowledgment of AI usage. The Service uses artificial intelligence (“AI”) systems for core features, including but not limited to: real-time speech recognition, audio transcription, content summarization, action-item generation, AI meeting assistant chat, and personalized recommendations. By using the Service, you acknowledge that these features are provided by AI technology (including third-party AI models).
6.2 Nature and limitations of AI outputs. All AI-generated content (including transcripts, summaries, action items, and recommendations, collectively “AI Outputs”) is automated assistance and may contain errors, inaccuracies, omissions, or hallucinations. AI Outputs cannot substitute for professional judgment and do not constitute legal, medical, financial, investment, mental health counseling, or other professional advice. You are solely responsible for reviewing, verifying, and assessing the appropriateness of AI Outputs. For important decisions, contracts, legal proceedings, or medical decisions, you should verify the original audio and transcript and consult qualified professionals.
6.3 AI content labeling and transparency(following EU AI Act Regulation (EU) 2024/1689 Article 50 and other applicable transparency requirements):
- AI Outputs are clearly identified as AI-generated content in the Service's user interface.
- Where technically feasible, AI Outputs are marked in machine-readable formats so they can be detected as artificially generated or manipulated content.
- When you interact with the Service's AI features, we will clearly inform you.
- You may not remove, modify, or obscure any AI labels and markers applied by the Service in compliance with AI transparency requirements.
6.4 Human oversight and control. You retain full control over all AI Outputs. All AI-generated content is presented as suggestions or assistance for you to review, edit, accept, or reject. The Service's AI systems do not make automated decisions that produce legal or similarly significant effects on you without human intervention. You are fully responsible for any action you take based on AI Outputs.
6.5 AI data usage commitments.
- We do not use your identifiable recordings, transcripts, or User Content to train AI models that benefit other customers; your data stays within your Account.
- We may only use fully anonymized and aggregated data that cannot be traced back to any individual user to improve speech recognition and AI capabilities.
- Our chosen third-party AI service providers process your data solely to provide the Service and are contractually prohibited from using your data for their own model training.
- For details, see Privacy Policy Sections 4 and 19.
6.6 AI regulatory compliance. Based on our assessment under the EU AI Act, the Service's AI features fall under limited-risk AI systems, subject only to Article 50 transparency obligations. We do not operate any AI systems classified as prohibited practices or high-risk.
7. Subscription plans and payment
The Service offers the following plans:
- Free: 2 hours of transcription per month, free forever, no credit card required.
- Basic: 20 hours/month, US$14.99/month or US$149.90/year (save 17%).
- Pro: 40 hours/month, US$24.99/month or US$249.90/year (save 17%).
- Max: 80 hours/month, US$42.99/month or US$429.90/year (save 17%).
Add-on packages: Beyond monthly/yearly subscriptions, you can purchase one-time additional quota at any time. Add-on packs do not auto-renew; one-time charge only:
- Small pack: 3 hours / US$4.99
- Medium pack: 12 hours / US$14.99
- Large pack: 30 hours / US$32.99
Add-on quota is available during the active subscription period and retains a 6-month grace window after subscription termination; unused hours expire after that, non-refundable. Add-on quota is consumed only after monthly plan quota is exhausted.
Quota exhaustion: After exceeding monthly quota and any add-on quota, recording is paused. You may buy an add-on pack, upgrade your plan, or wait for next month's reset to continue. Recorded content is preserved in full.
Payment processing (web): Payments via the web (huelo.ai) are processed by Lemon Squeezy as Merchant of Record. Huelo does not directly store your credit card number, CVV, or full financial data. Lemon Squeezy collects and remits applicable sales tax, VAT, or consumption tax per their jurisdiction.
Payment processing (iOS App): In-app purchases on iOS are processed by Apple App Store as Merchant of Record, with RevenueCat (Huelo's subscription infrastructure provider) syncing subscription status to Huelo. iOS receipts, taxes, and invoices are handled by Apple; Huelo does not access your Apple ID payment data.
iOS price differences vs. web: To absorb Apple App Store platform commission (15–30% per Apple policy), iOS in-app subscription and add-on prices may be higher than web pricing (typically ~1.3×). Final amounts are shown on the App Store checkout page. For the best price, subscribe on the web (huelo.ai). Same account subscribed on different platforms does not stack quota and does not auto-cancel another platform's subscription; in case of duplicate subscriptions, cancel per the respective platform's rules to avoid double-billing.
Authorization: You authorize Huelo and its payment processors (Lemon Squeezy, Apple, RevenueCat) to charge all applicable fees (including taxes) per these Terms or website announcements for your chosen service tier.
Price changes: All prices are in the displayed currency. Actual charge may vary by exchange rate, taxes, or regional differences. We reserve the right to adjust subscription prices and will give 30 days' notice by email before effective date. Promotional offers may be available to specific customers; promotions (unless explicitly extended to you) do not modify your existing discount or these Terms.
8. Auto-renewal, cancellation, and refunds
8.1 Subscription term and auto-renewal. Paid subscriptions are billed monthly or annually (the “Subscription term”) as you choose. Once you upgrade from free to a paid subscription, your subscription will automatically renew at the end of each Subscription term and charge your chosen payment method until you cancel. You authorize us to charge per your chosen service tier without further notice or authorization.
8.2 Cancellation. You may cancel at any time from Settings or by contacting support@huelo.ai. After cancellation, you keep your subscription benefits until the end of the current term; your Account is then automatically downgraded to Free, with all recorded content preserved.
8.3 General refund policy. Except as set forth in 8.4 and 8.5, subscription fees are non-refundable once charged. If you dispute a charge, contact support@huelo.ai within 14 days of charge — we'll review case by case.
8.4 EU/EEA/UK consumer rights. If you are a consumer located in the EU, EEA, or UK, the EU Consumer Rights Directive (Directive 2011/83/EU) gives you the right to withdraw from a purchase within 14 days, without justification, and obtain a refund. To exercise this right, contact legal@huelo.ai; we will process the refund within 14 days of receiving a valid withdrawal request. If you have used paid quota (actual transcription hours) within that period, you are deemed to have expressly requested immediate performance, and the refund amount will be pro-rated based on unused portion. This section does not affect your other statutory rights under EU consumer protection law (including the remedies under Directive (EU) 2019/770 on digital service non-conformity).
8.5 Failed charges. If a charge fails due to expired card, insufficient funds, or any other reason, you'll receive a notification with a 7-day grace period. If not resolved within 7 days, your Account is automatically downgraded to Free, with all recorded content preserved. Paid features are suspended until you re-charge.
8.6 Special terms for iOS App Store subscribers. If you subscribe to Huelo via the iOS App, please note:
- Auto-renewal: Subscription renews within 24 hours before the end of the current term, charged to the payment method on file with your Apple ID. Unless you cancel before that 24-hour window, the subscription will renew automatically.
- How to cancel: Go to iPhone “Settings → [your Apple ID] → Subscriptions → Huelo” and cancel. Canceling inside the Huelo App or deleting the App does not terminate your subscription.
- Refund requests: iOS subscription refunds must be requested from Apple per Apple's policy (reportaproblem.apple.com). Huelo has no authority to refund on Apple's behalf.
- Order of precedence: These Terms and Apple's Standard EULA both apply; in case of conflict, the Apple EULA governs for iOS users.
- Free plan allowance: Any unused free quota is forfeited upon starting a paid subscription.
9. Quota compensation policy
To improve service-availability transparency, we provide compensation in the following situations. Some items are automatic upon system detection; others are reviewed and credited within 7 business days of your request or our detection (results are communicated via in-app notification or email):
- [Automatic] Transcription waiting time exceeds 30 minutes: that recording's quota is returned.
- [Request] Same file fails transcription 4 consecutive times: quota returned plus a 20% bonus of original quota.
- [Request] AI analysis interruption exceeds 2 hours: 30 minutes of bonus quota.
- [Request] Service outage from 30 minutes to 4 hours: paid subscription extended by 1 day.
- [Request] Service outage exceeds 4 hours: paid subscription extended by 3 days.
For items marked “Request,” please contact support@huelo.ai with the meeting ID and time window; we will review and process within 7 business days. These compensations are our proactive commitment to service availability — they are not a warranty against quality defects. You can view compensation records under Settings → Billing & Quota. Outages caused by force majeure (Section 22) are excluded.
10. Acceptable Use Policy
To comply with the law (including US export controls), unless expressly permitted by applicable law or the Service's features, you may not:
- Copy, distribute, publicly display, or publicly perform the Service; modify the Service; interfere with, disable, or circumvent any feature (including security features or access controls); reverse engineer any part of the Service or attempt to discover its source code.
- Use the Service for any unlawful purpose or in violation of any local, state, national, or international law or these Terms.
- Harass, threaten, demean, humiliate, bully, deceive, or harm other users of the Service.
- Infringe or encourage infringement of any third-party right, including infringement or misappropriation of intellectual property.
- Upload or distribute any virus, adware, spyware, worm, or other malware; send unsolicited promotional materials or advertising to other users; collect other users' or third parties' personal data without consent; interfere with or disrupt any network, device, or server used for the Service.
- Continue using recording features when any participant in a call objects to being recorded.
- Store, copy, modify, distribute, or resell any information, audio, visual, audiovisual works, or other content provided through the Service.
- Use the Service in a way that threatens the integrity, performance, or availability of the Service.
- Remove, alter, or obscure any proprietary notices (including copyright notices) on any part of the Service.
- Remove, alter, or obscure AI-generated content labels or markers applied by the Service per applicable AI transparency requirements.
- Use any automated tools (such as bots or crawlers) to access or use the Service.
- Use the Service for purposes other than your personal or internal business; provide the Service or its outputs to anyone outside your team Account, or for the benefit of any other customer.
- Access or attempt to access any non-public Huelo systems, programs, or data, or attempt to bypass any security devices of the Service.
- Rent, lease, sublicense, sell, or otherwise transfer any of your rights under these Terms.
- Use the Service for highly sensitive recordings (e.g. medical patient consultations, attorney-client privileged meetings, government classified meetings) without obtaining the necessary legal authority and compliance safeguards; Huelo has not signed a HIPAA BAA — do not upload Protected Health Information (PHI).
11. Intellectual property and feedback
11.1 Proprietary materials of the Service. All text, graphics, editorial content, data, formats, charts, designs, HTML, visual and operational interfaces, photos, music, sound, images, software, video, trademarks, logos, fonts, and other content of the Service (collectively, “Proprietary Materials”) — except User Content — are owned by Huelo or its licensors. Proprietary Materials are protected by copyright, patent, trademark, and other intellectual property laws. Without our prior express written consent (and where applicable, the User Content rights-holder's consent), you may not copy, download, use, redesign, reconfigure, or retransmit any content of the Service.
11.2 User Content. Covered in Section 5.
11.3 Feedback. You may choose, or we may invite you, to submit comments, suggestions, ideas, bug reports, and improvements regarding the Service (“Feedback”). You agree: your disclosure is voluntary, gratuitous, unrestricted, and does not give rise to any fiduciary or other obligation by Huelo; we may freely use, copy, modify, and disclose such Feedback without any compensation; our acceptance of your Feedback does not constitute any waiver of similar or related Feedback we already have or obtain from other sources.
11.4 Aggregated and de-identified data. Huelo retains all rights in aggregated and/or de-identified data generated from your use of the Service, provided such data is not attributed to you or derived from you and contains no information that directly or indirectly identifies you or any other natural person. Such aggregated and de-identified data will not be used to train AI models that benefit other customers or third parties.
11.5 Copyright infringement notices. If you believe any content on the Service infringes your copyright, please provide specific evidence (description of copyrighted work, URL or specific location of the allegedly infringing content, your contact information, a good-faith statement, a sworn statement, and the rights-holder's signature) to legal@huelo.ai. We will handle per Taiwan's Copyright Act and US DMCA procedures.
12. Third-party services and AI partners
To provide the Service, Huelo integrates the following third-party services. Each service's processing scope, data, and no-training commitments are described in Privacy Policy Section 5.
AI technology partners (all US companies; no mainland Chinese AI services used):
- OpenAI (USA) — Whisper audio transcription (gpt-4o-transcribe)
- Anthropic (USA) — Claude language model for meeting analysis and AI assistant. Calls to Claude are routed through Vercel AI Gateway(Vercel Inc., USA) as a technical intermediary; this only handles request forwarding and cost/rate management and does not use your content for model training.
- Deepgram (USA) — real-time speech recognition (WebSocket streaming)
Infrastructure: Supabase (database, auth), Cloudflare R2 (file storage), Upstash (job queue), Vercel (application hosting + AI Gateway intermediary), Lemon Squeezy (web payments), Apple App Store + RevenueCat (iOS payments and subscription sync).
These third-party services are governed by their own terms and privacy policies. These AI service providers process your data solely to provide the Service, are bound by data processing agreements, and may not use data for their own model training. Huelo has made reasonable efforts to ensure they meet no-training, encrypted-transmission, and data minimization safeguards, but is not responsible for their service quality, availability, or data processing practices (except where required by law).
External links: The Service may contain links to third-party sites. We provide these links solely for convenience and do not endorse those sites or their providers. Your use of any third-party site is at your own risk.
13. Privacy and data protection
How we collect, use, share, retain, and protect your personal data is detailed in the Privacy Policy. The Privacy Policy is incorporated by reference into these Terms; the two together constitute the Agreement.
Compliance obligations: You are solely responsible for: (a) the data you input, provide, access, or use; and (b) compliance with any privacy and data protection laws and regulations applicable to that data or your use of the Service. You represent and warrant that you have obtained and will maintain all necessary rights, consents, and authorizations for Huelo to exercise the rights granted under these Terms, and that Huelo's exercise of such rights does not infringe any third-party right.
Information security: Huelo implements commercially reasonable security measures to protect data it owns or controls from unauthorized or unlawful access, use, alteration, or disclosure. Security details are in Privacy Policy Section 8.
14. Confidentiality
You acknowledge that “Confidential Information” is Huelo's valuable, special, and unique asset, and you agree, except as expressly permitted in these Terms, not to disclose, transfer, use (or attempt to induce others to disclose, transfer, or use) any Confidential Information. You may disclose Confidential Information to your authorized employees and agents on a need-to-know basis, provided they are bound by the same confidentiality obligations. You will use your best efforts to protect Confidential Information from unauthorized disclosure, transfer, or use. Upon termination of the Agreement, you must return or securely destroy all originals and copies containing Confidential Information.
“Confidential Information” means Huelo's trade secrets, confidential and proprietary information not known to the public or other third parties, the use or disclosure of which by a third party could be of economic or other value, including but not limited to: technical data, know-how, research, product plans, products, services, customers, markets, software, development, inventions, processes, formulas, technology, designs, engineering, hardware configurations, marketing, finances, strategies, and other confidential information regarding Huelo's employees, users, or partners.
15. Disclaimers
The Service and all data, content, transcripts, and AI Outputs are provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by applicable law, Huelo expressly disclaims all warranties, express or implied, including but not limited to: merchantability, fitness for a particular purpose, title, quiet enjoyment, non-infringement, and any warranties arising from course of dealing, usage, or trade practice.
Without limiting the foregoing, Huelo does not warrant the completeness, accuracy, or reliability of any AI-generated content. AI Outputs may contain errors, inaccuracies, or omissions; you should not rely on AI Outputs without independent verification.
Huelo does not warrant that the Service will meet your requirements, will be error-free, that errors will be corrected, will be virus-free or free of other harmful elements, or will operate on any particular device or network environment. You use the Service at your own risk. Huelo is not responsible for failure to store or maintain any user data, content, transcripts, communications, account information, or personalized settings.
16. Limitation of liability
To the maximum extent permitted by applicable law:
- Huelo and its employees, directors, shareholders, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, lost goodwill, lost data, or business interruption) arising from your access or use of, or inability to access or use, the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if Huelo has been advised of the possibility of such damages.
- In any case, Huelo's aggregate liability to you for all claims (whether contract, tort, or otherwise) arising from your use of or inability to use the Service shall be limited to the greater of: (1) the amount you actually paid to Huelo in the 12 months preceding the event giving rise to the claim; or (2) US$100.
Basis of the bargain: These limitations of liability are a basis of the risk allocation between the parties under these Terms and a fundamental element of the bargain. Each clause is severable and independent of other clauses.
EU users: If you are a consumer in the EU or EEA, this section does not limit or exclude liability for damages caused by intentional misconduct or gross negligence, nor any other liability that may not be limited or excluded under mandatory EU law (including applicable product liability legislation).
17. User indemnification
You agree to indemnify and hold harmless Huelo and its employees, agents, and affiliates from and against any third-party claims, actions, damages, fines, costs (including reasonable attorneys' fees and litigation costs) arising from:
- Your violation of these Terms or any applicable law (especially the Section 4 recording legality obligations).
- Your User Content infringing a third party's privacy, publicity, copyright, trademark, or other right.
- Your failure to obtain consent from recording participants.
- Your fraudulent use of the Service, payment instruments, or refund mechanisms.
18. Suspension and termination
18.1 Self-termination. You may delete your Account at any time from Settings or by emailing support@huelo.ai. After cancellation, your personal data will be cleared and you will no longer be able to access your Account, profile, or other information through the Service. Post-deletion data handling schedule: see Privacy Policy Section 16.
18.2 Our right to terminate. We may suspend or terminate your Account after notice (or without notice in emergencies) if:
- You violate these Terms or the Acceptable Use Policy.
- We reasonably believe your conduct may harm the Service, other users, or third parties.
- Your payment is overdue by more than 30 days after demand.
- Required by regulators, court order, or mandatory legal requirements.
18.3 Survival. Sections of these Terms that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, confidentiality, and intellectual property) shall continue indefinitely after termination. If we terminate due to your violation of these Terms, you may not re-register through a third party, pseudonym, or your own identity.
18.4 Service modifications and discontinuance. Huelo reserves the right, in its sole discretion, to modify or discontinue, temporarily or permanently, all or part of the Service. Huelo is not liable for any such modification or discontinuance. After Account termination or cancellation, we reserve the right to delete all your data (including all User Content) in the normal course of operations; such data cannot be recovered.
19. Governing law and dispute resolution
19.1 Governing law. The Agreement shall be governed by and interpreted in accordance with the laws of the Republic of China (Taiwan), without regard to its private international law rules. For users located in the EU, EEA, or UK, this choice-of-law clause does not deprive you of the protection of mandatory laws of your country of habitual residence.
19.2 Informal resolution. For any dispute arising from the Agreement or your use of the Service, you agree to first contact us at legal@huelo.ai; both parties will make good-faith efforts to resolve the matter directly through written communication. If not resolved within 30 days of notice, the matter then becomes a “Dispute.”
19.3 Court of jurisdiction. If informal resolution fails, both parties agree to submit to the Taipei District Court of Taiwan as the first-instance court of competent jurisdiction, except where a consumer enjoys exclusive jurisdiction under the Consumer Protection Act.
19.4 Exceptions for EU/UK consumers. If you are a consumer in the EU, EEA, or UK, Section 19.3 does not apply to you. You may bring proceedings against Huelo in the courts of your country of residence, in accordance with applicable EU consumer protection laws and regulations. These Terms do not limit your rights under the GDPR or other applicable EU/UK data protection laws (including lodging complaints with regulators or seeking judicial remedies under Article 79 GDPR).
20. Electronic communications and notice consent
You consent to receive all agreements, notices, disclosures, and other communications related to this Agreement (“Notices”) electronically, including but not limited to via email, in-app notification, or website announcements. You agree that our electronic Notices satisfy any legal requirement that such communications be in writing.
- SMS: We may send SMS to the phone number you provide for two-factor authentication (2FA). Standard carrier message and data rates apply.
- Push notifications: By installing the App you consent to push notifications. You can disable them in your device settings.
- Email: We may send service-related notifications during the course of providing the Service (e.g. transcription complete, share notifications, quota warnings), and may also send product or third-party product information. You can opt out of promotional emails via the unsubscribe link.
21. Modifications to these Terms
We may modify these Terms (including the Privacy Policy) at our discretion. For material changes(e.g. payment terms, limitation of liability, dispute resolution), Huelo will provide notice at least 30 days in advance via email or prominent in-app notification.
For non-material changes (e.g. clarifying language, supplemental notes), we may simply update this page and modify the “Last updated” date. Continued use of the Service after notice constitutes acceptance of the revised Terms; if you do not agree, terminate use before the effective date.
22. General provisions
- Entire agreement: These Terms together with the Privacy Policy and other incorporated agreements constitute the complete and exclusive agreement between you and Huelo regarding the Service, superseding any prior oral or written understandings.
- Severability: If any provision of these Terms is held invalid or unenforceable, that part will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force.
- No waiver: Our failure to immediately exercise any right under these Terms is not a waiver of that right; waiver of any breach is not a waiver of any future breach.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent; we may assign these Terms at any time without notice or consent.
- Force majeure: We are not liable for delays or failures caused by acts of God, war, pandemics, government orders, network outages, third-party service outages, or other causes beyond our reasonable control.
- No third-party beneficiaries: No provision of these Terms is enforceable by any person who is not a party to these Terms.
- Language versions: The authoritative version of these Terms is the Traditional Chinese version. Translations are for reference only; in case of conflict between a translation and the Chinese version, the Chinese version prevails.
- Headings and interpretation: Section headings are for convenience only and do not affect interpretation. “Including” means “including without limitation.”
- Support obligations: Huelo has no obligation to provide support; if provided, it follows then-current published policies.
